8. CANCELLATION POLICY

- Client cancellation 45 days or more before event: Deposit earned by Performer; no additional fees.
- Client cancellation fewer than 45 days before event: Full performance fee due.
- A request to postpone, reschedule, materially change the date, or move the performance to a new date is treated as a cancellation unless Performer agrees in writing to apply some or all prior payments to a new date. Any rescheduled event requires written confirmation and may require a new agreement, new deposit, and/or price adjustment. Likewise, a change in location may require a price adjustment, to be negotiated in good faith.
- Performer may, in Performer's sole discretion, waive or reduce cancellation amounts, apply payments to a future booking, or decline to pursue amounts otherwise due. Any such waiver must be in writing and applies only to that specific booking.

This Agreement shall be governed by the laws of the State of California.

11. SUPPLEMENTAL TERMS

a) Performed Material — Intellectual Property Retention
Performer retains all right, title, and interest in and to Performer's original material — including without limitation acts, routines, choreography, and staging — to the extent created, owned, or controlled by Performer and protectable under applicable law (the "Material"). The fee paid under this Agreement is consideration for a live performance only and does not transfer, assign, or license to Client any ownership or intellectual property right in the Material, and no part of the performance is a work made for hire. Any reproduction, transcription, adaptation, or commercial exploitation of the Material requires a separate written agreement between the parties.
b) Performance Area Safety and Aerial Rigging
Client shall provide and maintain a performance area, access, lighting, audience control, and safety perimeter reasonably suitable for the services and consistent with the requirements stated in this Agreement. Client shall use reasonable measures to keep audience members and unauthorized persons outside the agreed performance and safety zones. Each party shall timely provide the safety equipment, spotters, personnel, information, access, and other safety measures that this Agreement assigns to that party. Performer shall exercise reasonable care in providing the services and shall comply with applicable law and reasonable venue safety requirements disclosed sufficiently in advance.
For any aerial service, each party is responsible for the rigging personnel, equipment, and tasks that it agrees to provide or arrange, and shall ensure that the rigging personnel it provides or arranges are qualified for their assigned tasks. Any rigging installation, inspection, adjustment, and removal that a party provides or arranges under this Agreement shall be performed by persons qualified for those tasks. Client shall ensure that the venue structure and designated rigging points are evaluated and approved by a qualified person for the loads and configuration stated in this Agreement; meet or exceed the agreed minimum point capacity, clear height, and number of points; and are supported by structural or load documentation reasonably requested by Performer. Client shall provide reasonably necessary venue access and setup time for inspection, installation, testing, and safety checks. Performer is responsible for inspecting its own apparatus and shall use only rigging points approved for the contemplated service. Each party shall promptly inform the other of any known condition, defect, or restriction material to the safe rigging or performance of the aerial service. Nothing in this section represents that Performer has designed, engineered, or certified the venue structure or any rigging point unless the parties expressly agree in writing that Performer will provide that separate service.
If Performer in good faith determines that a condition makes an affected service unsafe or unlawful, Performer may pause, modify, or omit only the affected service after promptly notifying Client and allowing a reasonable opportunity to correct the condition when correction is feasible in the available time. Such a good-faith safety action is not by itself a breach, cancellation, or abandonment. It does not by itself determine any payment, refund, cancellation, force-majeure, or indemnification consequence; the other applicable sections of this Agreement control those consequences.
This section does not create any independent insurance or indemnification obligation. Any liability arising under this section remains subject to the Limitation of Liability section and any insurance or indemnification obligations otherwise included in this Agreement. Nothing in this section limits or waives any liability, right, or responsibility that cannot be limited or waived under applicable law.
